Build the Firm — Online Course

Effective Date: June 3, 2025

Please read these Terms and Conditions ("Terms") carefully before enrolling in or purchasing access to the Build the Firm online course (the "Course") offered by Build The Firm Co. ("we," "us," or "our").

By completing your purchase or enrolling in the Course, you ("you" or "Student") agree to be bound by these Terms. If you do not agree to these Terms, do not enroll in or access the Course.


Section 1

Acceptance of Terms

Your purchase of, or enrollment in, the Course constitutes your full and unconditional acceptance of these Terms. These Terms form a legally binding agreement between you and Build The Firm Co. We reserve the right to update or modify these Terms at any time. Continued access to the Course following notice of any changes constitutes your acceptance of the revised Terms.

Section 2

Course Description and Content

The Course, Build the Firm, is an online education program designed to help accounting firm owners systematize their client inquiry process. The Course is delivered through Squarespace Courses and includes video lessons, written materials, downloadable resources, and other educational content.

We reserve the right to modify, update, or discontinue any portion of the Course content at our sole discretion and without prior notice. While we strive to keep content current and accurate, we do not guarantee that the Course will meet your specific business objectives or produce any particular result.

Section 3

Payment Terms

All fees for the Course are stated in Canadian dollars (CAD) and are due in full at the time of enrollment unless otherwise specified. Accepted payment methods are displayed at checkout.

Applicable sales taxes will be calculated and applied at checkout based on your province or territory of residence at the time of purchase, in accordance with applicable Canadian federal and provincial tax legislation. This includes, where applicable, GST, HST, PST, or QST, as determined by your billing address. Tax rates vary by province and territory and are subject to change. You are responsible for providing accurate billing information to ensure the correct tax is applied.

Payment is processed through third-party payment processors. Build The Firm Co. is not responsible for errors, fees, or interruptions caused by your payment provider or financial institution. If a payment fails, your enrollment may be suspended until payment is successfully received.

Chargeback Policy

Initiating a chargeback or payment dispute after receiving access to the Course will be considered a material breach of these Terms and may result in immediate suspension or termination of your access. We reserve the right to contest any chargeback and to pursue recovery of fees owed.

We reserve the right to change Course pricing at any time. Any price changes will not affect purchases already completed.

Section 4

Refund and Cancellation Policy

No Refunds — All Sales Are Final

All sales of the Course are final. We do not offer refunds, exchanges, or credits of any kind, for any reason, once a purchase has been completed. By completing your purchase, you expressly acknowledge and agree to this no-refund policy.

Why we don't offer refunds

The Course is a fully digital product. Upon completing your purchase, you are granted immediate access to all Course materials — video lessons, written content, templates, and downloadable resources. Because this content is delivered digitally and accessible in full at the moment of purchase, it cannot be returned in the way a physical product can.

Specifically, this policy exists because:

  • Immediate access: Course content is delivered and accessible in full at the moment of purchase. Once you have access to digital educational materials, the value of that content cannot be restored to us.
  • Nature of digital goods: Digital products made available immediately upon purchase are generally exempt from standard return and cancellation rights under Canadian consumer protection principles.
  • Intellectual property: Each purchase grants you a personal licence to our proprietary educational materials. That licence is activated at the time of purchase and cannot be revoked in exchange for a refund once the materials have been accessed.
  • Individual results: The results you achieve from the Course depend entirely on your own effort, implementation, and individual circumstances. Dissatisfaction with personal outcomes does not constitute grounds for a refund.
  • No partial refunds: We do not offer partial refunds for incomplete use, failure to complete the Course, or lack of engagement with Course materials.
  • Pricing reflects value: Course pricing reflects the full depth and value of the materials provided. We encourage you to review all available Course information before enrolling.

Before You Purchase

We strongly encourage you to review all available Course information before completing your purchase. If you have questions about whether the Course is the right fit, please contact us at the address in Section 21 before enrolling.

Cancellation by Build The Firm Co.

If Build The Firm Co. permanently discontinues the Course and removes all Student access before you have had a reasonable opportunity to complete the content, we will review refund or credit requests on a case-by-case basis at our sole discretion. This provision does not apply to temporary outages, maintenance, content updates, or retirement of individual lessons within an ongoing course.

Section 5

Course Access and Duration

Upon purchase, you are granted annual access to the Course. This means you may access the Course content for a period of twelve (12) months from the date of your purchase, for as long as the Course remains available on our platform.

What "annual access" means

"Annual access" means your access period is twelve (12) months from the date of purchase. Access does not automatically renew. If you wish to continue accessing the Course after your annual period has expired, you may be required to repurchase access at the then-current price. We will make reasonable efforts to notify you in advance of your access expiry.

Build The Firm Co. is not liable for any loss of access resulting from expiry of your access period, Course discontinuation, platform outages, third-party service interruptions, or circumstances beyond our reasonable control. Your access is also contingent on your account remaining in good standing and your continued compliance with these Terms.

Section 6

Upgrade Policy

Clients who purchase an individual Edit may upgrade to the Mini Firm Edit package for a total package price of $3,497 CAD plus applicable sales tax, provided the upgrade request is made within thirty (30) days of the original purchase date.

The amount previously paid for the individual Edit will be credited toward the Mini Firm Edit package price. The client will be responsible only for paying the remaining balance required to reach the total package price of $3,497 CAD plus applicable sales tax.

Thirty-Day Upgrade Window

Upgrade requests received more than thirty (30) days after the original purchase date are not eligible for this pricing arrangement. After the thirty (30) day period has expired, additional Edits must be purchased separately at the then-current rate of $1,497 CAD per Edit, plus applicable sales tax. No exceptions will be made to the thirty (30) day upgrade period.

Section 7

Intellectual Property and Individual Use

All Course content, including but not limited to video recordings, written materials, templates, worksheets, scripts, checklists, frameworks, graphics, audio, and downloadable resources (collectively, "Content"), is the exclusive property of Build The Firm Co. and is protected by Canadian copyright law and applicable international intellectual property laws.

Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Content for your own personal, non-commercial business use only. This licence is granted to you as an individual and may not be shared, transferred, or extended to any other person or entity.

Individual Use Only

Important — one purchase, one person

All Course materials are licensed for individual use only. One purchase grants access to one person. You may not share, distribute, forward, upload, or otherwise provide access to Course materials to any third party, whether for payment or free of charge.

This includes but is not limited to:

  • Sharing login credentials or account access with colleagues, staff, business partners, or anyone else;
  • Forwarding, printing, or distributing downloaded materials to others;
  • Uploading or posting any Course content to shared drives, intranets, group platforms, or any publicly accessible location;
  • Incorporating Course content into internal training programs, team resources, or organizational materials without written permission from Build The Firm Co.

Prohibited Uses

In addition to the individual use restrictions above, you may not:

  • Copy, reproduce, publish, or transmit any Content in any form or by any means;
  • Sell, resell, sublicense, or otherwise commercialize any Content;
  • Use the Content to create derivative works or competing educational products;
  • Present, teach, or deliver any Content as your own original work;
  • Remove or alter any copyright, trademark, or proprietary notices from the Content.

Any unauthorized use of the Content may result in immediate termination of your access and may expose you to legal liability.

Section 8

Templates, Examples, and Educational Materials

Templates, scripts, checklists, workflows, frameworks, sample language, and other practical resources provided in the Course are educational tools only. They are provided to illustrate concepts and support your learning.

These materials are not legal, accounting, tax, compliance, or professional advice, and they are not intended to be used without adaptation. You are solely responsible for reviewing, modifying, and implementing any Course materials in a manner appropriate to your own business, professional obligations, and regulatory requirements.

Build The Firm Co. makes no representation that any template, script, or workflow will be suitable for your specific circumstances, client base, or jurisdiction.

Section 9

No Professional Advice

Important

The Course is provided for educational and informational purposes only. Nothing in the Course constitutes accounting, legal, tax, financial, human resources, compliance, or other professional advice. Enrollment does not establish a professional relationship of any kind between you and Build The Firm Co.

You should consult qualified professionals regarding your specific business, legal, tax, and regulatory obligations before implementing any strategies, systems, or materials from the Course.

Section 10

No Earnings or Results Guarantee

Build The Firm Co. makes no guarantees, representations, or warranties regarding business outcomes, revenue, profitability, client acquisition, firm growth, conversion rates, or any other financial or professional results.

Any examples, case studies, testimonials, or projections referenced in the Course are illustrative only. They represent individual experiences and are not typical or guaranteed. Your results will vary based on your own effort, implementation, experience, market conditions, and individual circumstances.

Participation in the Course is not a guarantee of success. Build The Firm Co. is not responsible for any business decisions you make based on Course content.

Section 11

Acceptable Use

By enrolling in the Course, you agree to use the Course platform and Content only for lawful purposes and in accordance with these Terms. You agree not to:

  • Share, sell, or transfer your account credentials to any other person;
  • Create more than one account per individual;
  • Attempt to gain unauthorized access to any part of the Course platform;
  • Engage in any conduct that disrupts, interferes with, or harms the Course platform or other users;
  • Use automated means (bots, scrapers, etc.) to access, download, or collect Course content.

One enrollment is valid for one individual only. Institutional or team licensing is available upon request.

Section 12

Your Responsibilities

You represent and warrant that:

  • All registration information you provide is accurate, current, and complete;
  • You are at least 18 years of age or have the legal capacity to enter into a binding agreement;
  • You are responsible for maintaining the confidentiality and security of your account login credentials;
  • You will promptly notify us if you become aware of any unauthorized use of your account;
  • You are solely responsible for obtaining and maintaining the hardware, software, and internet connectivity required to access the Course;
  • You remain solely responsible for ensuring that your use of Course materials complies with all applicable professional standards, privacy laws, licensing requirements, and regulatory obligations in your jurisdiction.
Section 13

Disclaimer of Warranties

The Course is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Build The Firm Co. disclaims all warranties, including but not limited to:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement;
  • Any guarantee that the Course will meet your specific business needs or produce any particular financial or professional result;
  • Any warranty that the Course platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Results will vary based on individual effort, experience, and circumstances.

Section 14

Limitation of Liability

To the fullest extent permitted by applicable law, Build The Firm Co., its owners, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Course. This includes, without limitation:

  • Loss of revenue, income, profits, or business opportunities;
  • Loss of clients or client relationships;
  • Business interruption or reputational harm;
  • Loss of data or business information;
  • Technical failures, interruptions, or platform downtime;
  • Errors or omissions in Course content.

In no event shall our total cumulative liability to you exceed the total amount paid by you for access to the Course in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, gross negligence, or any liability that cannot be excluded under applicable Canadian law.

Section 15

Indemnification

You agree to indemnify, defend, and hold harmless Build The Firm Co. and its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or access to the Course;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or professional obligation;
  • Your misuse of Course materials, templates, or resources;
  • Any claim by a third party arising from your implementation of Course content.
Section 16

Force Majeure

Build The Firm Co. shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to:

  • Illness, injury, or medical emergency affecting course creators or instructors;
  • Internet or telecommunications outages;
  • Third-party platform failures, including Squarespace or hosting providers;
  • Natural disasters, fires, floods, or severe weather events;
  • Government actions, regulations, or orders;
  • Pandemics or public health emergencies.

In such circumstances, we will make reasonable efforts to resume normal operations as soon as practicable and communicate any delays to enrolled Students.

Section 17

Termination of Access

We reserve the right to suspend or terminate your access to the Course at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, initiated an unauthorized chargeback, shared Course materials without authorization, or failed to make required payments.

Upon termination for cause, you will not be entitled to a refund of any fees paid. Termination does not affect any rights or obligations that accrued prior to the date of termination.

You may discontinue use of the Course at any time. Discontinuation does not entitle you to a refund.

Section 18

Privacy and Personal Information

Build The Firm Co. collects and uses your personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Alberta's Personal Information Protection Act (PIPA). By enrolling in the Course, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

Our Privacy Policy is incorporated into these Terms by reference. Please review it carefully before enrolling.

Section 19

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Course shall be subject to the exclusive jurisdiction of the courts located in Winnipeg, Manitoba. You irrevocably consent to the personal jurisdiction of such courts.

We encourage you to contact us directly to resolve any concern before initiating formal proceedings.

Section 20

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Build The Firm Co. with respect to the Course and supersede all prior communications, proposals, and representations.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights at any time without restriction.
