Terms and Conditions

The Edits: our online courses for accounting and bookkeeping firm owners

Effective date: October 11, 2026

Please read these Terms and Conditions ("Terms") before you buy or enrol in any of our online courses. They're a binding agreement between you ("you" or "Student") and Build The Firm Co. ("we", "us" or "our"). If you don't agree with them, please don't buy or access a course.

If anything here isn't clear, email us at support@buildthefirmco.com before you buy. We're happy to explain.

Section 1Accepting these Terms

By buying or enrolling in a course, you accept these Terms in full. We may update them from time to time. If we do, the version in effect on the day you bought applies to that purchase, and continuing to use a course after we've told you about a change means you accept the updated Terms.

Section 2The courses

Our courses are called the Edits. Each one is a self paced online course for accounting and bookkeeping firm owners, built around how a working Canadian firm runs. The Edits include The Lead Edit, The Onboarding Edit, The SOP Edit, The Marketing Edit, The Staffing Edit and The AI Edit, and The Mini Firm Edit (The Lead Edit, The Onboarding Edit and The SOP Edit together). In these Terms, "Course" means any Edit or bundle of Edits you buy.

Courses are delivered through Kajabi and include written lessons, downloadable resources and, where a course has them, videos.

We may update, improve, reorganize or retire parts of a Course at any time, and we try to keep everything current. We don't promise that a Course will meet your specific goals or produce any particular result.

Section 3Payment

All prices are in Canadian dollars (CAD) and are due in full at checkout unless we've told you otherwise. Payment methods are shown at checkout.

Sales tax (GST, HST, PST or QST, as applicable) is added at checkout based on your billing address. Please make sure your billing information is accurate so the right tax is applied.

Payments are processed by third party payment processors. We're not responsible for errors, fees or interruptions caused by your payment provider or bank. If a payment fails, your access may be paused until it's received.

Chargebacks

Starting a chargeback or payment dispute after you've received access to a Course is a material breach of these Terms and may lead to your access being suspended or ended. We may contest any chargeback and recover fees owed.

We may change our prices at any time. A price change never affects a purchase you've already made.

Section 4Discount codes and event offers

From time to time we offer a discount code, usually at a conference or event. Each code applies only to the offer it names, can't be combined with any other discount, can't be applied to a purchase after it's made, and ends on the date stated with the code. An expired code won't be honoured.

Section 5No refunds: all sales are final

Why we don't offer refunds

• Immediate access. When you buy, you get immediate access to the full Course: lessons, downloads and any videos. Once digital material has been accessed, it can't be returned the way a physical product can.
• Digital goods. Digital products made available immediately on purchase are generally exempt from standard return and cancellation rights under Canadian consumer protection principles.
• Your results. What you get out of a Course depends on your own effort, implementation and circumstances. Not being happy with your own outcome isn't grounds for a refund.
• No partial refunds. We don't refund part of a purchase for incomplete use, for not finishing, or for not engaging with the material.

Before you buy

Please read the Course page carefully before you buy. If you're not sure a Course is right for you, email us first and we'll tell you honestly.

If we discontinue a Course

If we permanently discontinue a Course and remove all access before you've had a reasonable chance to complete it, we'll review refund or credit requests case by case, at our discretion. This doesn't apply to temporary outages, maintenance, content updates, or retiring individual lessons within a Course that's still running.

Section 6Access and duration

Each purchase gives you twelve (12) months of access, starting on the date you buy, for as long as the Course remains available on our platform. If you buy a bundle, you get twelve months of access to every Edit in it, starting on the date you buy the bundle.

Access doesn't renew automatically. To keep using a Course after your twelve months, you may need to buy access again at the price at that time. We'll make reasonable efforts to remind you before your access ends.

We're not liable for loss of access because your access period ended, a Course was discontinued, or a platform or third party service was interrupted. Your access also depends on your account staying in good standing and on you following these Terms.

Section 7Upgrades

If you buy an individual Edit, you can upgrade to The Mini Firm Edit within thirty (30) days of your purchase. What you paid for the Edit is credited toward The Mini Firm Edit price of $3,497 CAD, so you pay only the difference, plus applicable sales tax. To upgrade, email us at support@buildthefirmco.com within the thirty days.

After thirty (30) days, the upgrade credit no longer applies, and additional Edits are $1,497 CAD each, plus applicable sales tax. We can't make exceptions to the thirty day window.

Section 8Your licence: what you can and can't do

Everything in the Courses, including lessons, videos, written materials, templates, worksheets, scripts, checklists, frameworks, prompts, graphics and downloads ("Content"), belongs to Build The Firm Co. and is protected by Canadian copyright law and international intellectual property laws.

Each purchase gives you a limited, personal, non transferable licence to use the Content in your own firm. One enrolment is for one person. If you'd like access for more of your team, email us.

What you can do

• Adapt the templates, formats, worksheets, scripts, prompts and examples into your own firm's internal documents, such as your SOPs, training manuals, checklists, questionnaires, client emails, policies and role descriptions.
• Share those adapted documents with the people who work in your firm, and keep using them after your access ends.
• Print or save the downloads for your own use.

What you can't do

• Share your login, or give anyone else access to a Course, its lessons or its videos.
• Forward, upload or distribute the downloads as we provided them, or any lesson content, to anyone else, or post them on shared drives, group platforms or anywhere public.
• Sell, resell, sublicense or otherwise commercialize any Content, or use it to build a competing course, template pack, training product or service.
• Teach, present or publish the Content as your own work.
• Remove or change any copyright or ownership notice.

Using the Content in a way these Terms don't allow may lead to your access being ended and may expose you to legal liability.

Section 9Templates, examples and educational materials

Templates, scripts, checklists, workflows, frameworks, sample language, worked examples and other practical resources in the Courses are educational tools. They show you how something can be done and are meant to be adapted.

They're not legal, accounting, tax, human resources, compliance or other professional advice, and they're not meant to be used without adapting them to your firm. You're responsible for reviewing, changing and using them in a way that fits your own business, your professional obligations and the rules in your province. Where a Course tells you to take something to your own lawyer or adviser, please do.

Section 10CPD hours

Some Edits state a number of verifiable CPD hours. That number is the most you can claim ("up to"), based on the lessons, downloads and video in that Course, and you get a certificate of completion when you finish it. We don't claim accreditation or approval by any professional body. You're responsible for recording only the learning you actually did, in line with your own professional body's rules. Time you spend applying the material in your own firm isn't part of the stated number, and you can log it yourself as unverifiable CPD where your professional body allows.

We make no promises about business outcomes, including revenue, profit, client numbers, firm growth or conversion rates. Any examples in a Course are illustrations, not a promise of what you'll achieve. Your results depend on your own effort, implementation, experience, market and circumstances. We're not responsible for business decisions you make based on Course content.

Section 13Acceptable use

You agree to use the Course platform and Content only for lawful purposes and in line with these Terms. You agree not to:

• share, sell or transfer your login to anyone else;
• create more than one account for yourself;
• try to get unauthorized access to any part of the Course platform;
• do anything that disrupts or harms the platform or other students;
• use bots, scrapers or other automated tools to access, download or collect Content.

Section 14Your responsibilities

You confirm that:

• the information you give us is accurate and up to date;
• you're at least 18, or otherwise able to enter a binding agreement;
• you'll keep your login private and tell us promptly if you think someone else has used your account;
• you're responsible for the devices, software and internet connection you need to access a Course;
• you're responsible for making sure your use of Course materials meets your professional standards, privacy laws, licensing requirements and regulatory obligations.

Section 15Disclaimer of warranties

Courses are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non infringement; any promise that a Course will meet your specific needs or produce a particular result; and any promise that the platform will be uninterrupted or error free.

Section 16Limitation of liability

To the fullest extent the law allows, Build The Firm Co. and its owners, employees, contractors and agents aren't liable for any indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, a Course. That includes lost revenue, profit, clients or opportunities; business interruption or harm to reputation; lost data; technical failures or downtime; and errors or omissions in Course content.

Our total liability to you will never be more than the amount you paid us for Course access in the twelve (12) months before the event that led to the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or anything else that can't be limited under Canadian law.

Section 17Indemnification

You agree to indemnify and hold harmless Build The Firm Co. and its owners, officers, employees, contractors and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your use of a Course, your breach of these Terms, your breach of any law, regulation or professional obligation, your misuse of Course materials, or any third party claim arising from how you implemented Course content.

Section 18Events outside our control

We're not liable for any delay or failure to meet our obligations caused by circumstances outside our reasonable control, including illness, injury or emergency affecting our team; internet or telecommunications outages; failures of third party platforms such as Kajabi or hosting providers; natural disasters, fires, floods or severe weather; government action; or public health emergencies. If that happens, we'll make reasonable efforts to get things running again and keep enrolled students informed.

Section 19Ending access

We may suspend or end your access at any time if we believe you've breached these Terms, acted fraudulently, started an unauthorized chargeback, shared Course materials in a way these Terms don't allow, or failed to pay. If we end access for one of these reasons, you're not entitled to a refund. You can stop using a Course whenever you like, but stopping doesn't entitle you to a refund.

Section 20Privacy

We collect and use your personal information in line with Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta's Personal Information Protection Act (PIPA). Our Privacy Policy is part of these Terms. Please read it before you enrol.

Section 21Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. Any dispute about these Terms or a Course will be handled by the courts of Alberta. We'd always rather sort out a concern directly first, so please contact us before starting any formal process.

Section 22General

Entire agreement. These Terms and our Privacy Policy are the whole agreement between you and Build The Firm Co. about the Courses, and replace anything said or written before.

Severability. If any part of these Terms is found invalid or unenforceable, the rest still applies.

Waiver. If we don't enforce a right or provision, that doesn't mean we've given it up.

Assignment. You can't transfer your rights or obligations under these Terms without our written consent. We may assign ours at any time.
